Terms of Business

Risecap Ltd is an independent funding partner registered in England and Wales (company number 11203916). We help UK limited companies secure commercial finance by matching your requirements with suitable lenders from our network of 200+ providers. We are not a lender. Regulatory status

Risecap is a member of the National Association of Commercial Finance Brokers (NACFB) and follows the NACFB Code of Practice and Minimum Standards. You can confirm our membership at nacfb.org. Risecap Ltd is not authorised or regulated by the Financial Conduct Authority. We arrange unregulated commercial finance facilities for limited companies only, and do not arrange consumer credit or regulated mortgages.

Our Service

When you engage Risecap, we will assess your business funding requirements through consultation, review and analyse the financial documents you provide, identify suitable lenders and funding products from our network, prepare and submit applications to selected lenders on your behalf, manage lender communications and negotiate terms where possible, and keep you informed of progress through to completion. We do not provide financial, tax, or legal advice, do not guarantee funding will be secured, do not act as a lender, and do not make investment recommendations. We do not hold client money. Any lender fees, disbursements, or drawdowns are paid directly between you, the lender, and any nominated solicitor. We never receive or hold funds on your behalf.

Your Obligations

To enable us to provide our service effectively, you agree to provide accurate, complete, and truthful information and documentation, act in good faith and tell us promptly of any material change to your circumstances or financial position during the engagement, respond to requests for additional information in a timely manner, cooperate with the anti-money laundering, identity, and sanctions checks we are required to carry out, tell us in writing before you engage any other finance intermediary in parallel for the same requirement, not approach lenders we have introduced directly bypassing our involvement, and pay our fees as set out below.

Document Analysis and Technology

We use a combination of human expertise and AI-assisted technology to analyse the financial documents you provide. This includes automated extraction of financial data, AI-assisted credit assessment and scoring against lender criteria, and automated document completeness checking. All AI-assisted analysis is reviewed by a qualified member of our team before any decisions are made or applications submitted. No decisions about your funding application are made solely by automated means. Your data is processed under appropriate data processing agreements and is not used to train AI models. You have the right to request that your documents are analysed without AI assistance (this may result in longer processing times), request a full explanation of any AI-assisted analysis, and challenge any assessment and request human review. Fees

For most introductions, our fee is paid by the lender and nothing is payable by you. Where a lender does not pay us, or pays below our minimum, we may instead charge you a success fee. However it is paid, our fee is capped between 3 - 5% of the funding secured depending on the loan amount, and we never charge more. Before you enter into any finance agreement, we give you a Commission Disclosure Offer Letter that sets out exactly how we are paid for that specific deal, which you acknowledge before you sign. Any success fee is payable only on drawdown. You pay nothing unless a lender has made you a formal offer, you have accepted it, and funds have been drawn down, and any fee due is payable within 7 days of drawdown.

For complex engagements such as acquisition and larger commercial finance, a retainer may apply to cover the work involved; where it does, it is agreed in writing up front and credited in full against our fee on completion.

Introduction Protection

Where we have introduced you to a lender, you agree not to approach that lender directly (bypassing Risecap) for a period of 12 months from the date of introduction. If you proceed with funding from an introduced lender without our involvement during this period, our full fee remains payable.

Limitation of Liability

We will use reasonable care and skill to identify suitable funding but do not guarantee any lender will approve your application. We have no control over lender decisions, timescales, or terms. Our total liability shall not exceed the fees paid to us for the specific transaction giving rise to the claim. We are not liable for loss of anticipated funding, indirect or consequential losses, delays caused by third parties, or losses from inaccurate information provided by you. Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by our negligence, or for fraud.

Termination

Either party may terminate this engagement at any time by giving 14 days' written notice to the other. If funding has already been secured through our introduction before termination, our fee remains payable. We may terminate immediately if you provide materially inaccurate or misleading information, fail to provide requested documents within a reasonable timeframe, breach these terms, or where our anti-money laundering or sanctions checks raise concerns we cannot resolve.

Complaints

If you are dissatisfied with any aspect of our service, contact us at complaints@risecap.co.uk. We will acknowledge your complaint within 3 working days and provide a full written response within 15 working days. If we cannot resolve it to your satisfaction, you may refer it to NACFB Mediation under the NACFB Code of Practice (nacfb.org). If your complaint relates to how we have handled your personal data, you may also contact the Information Commissioner's Office at ico.org.uk or 0303 123 1113.

Governing Law

These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the English courts. These terms, together with our Privacy Policy and any Commission Disclosure Letter issued for a specific deal, form the entire agreement between you and Risecap in relation to our services. We may update these terms from time to time, and continued engagement after an update constitutes acceptance of the revised terms.

We will receive commission from lenders. Different lenders pay different amounts depending on different commission models. For transparency we work with the following commission models: fixed fee, fixed rate of commission, percentage of the amount you borrow. In some circumstances, we do not receive any commission or fee from the lender, we will detail the commission or fee scenario throughout your customer journey.
